Following the establishment of the State Council's Anti-Monopoly Commission, the State Council yesterday issued the first supporting provision of the Anti-Monopoly Law, "Regulations Concerning the Centralized Reporting Standards for Operators." This provision, signed by Premier Wen Jiabao of the State Council on the 3rd of this month, establishes the reporting standard of business turnover.
According to the “Regulations”, the concentration of managers refers to the following situations: the merger of operators; operators acquire control over other operators by acquiring equity or assets; and operators obtain control over other operators through contracts or other means. Can exert decisive influence on other business operators.
The “Regulations” stipulates two criteria for the concentration of operators that need to be reported: all operators participating in the concentration have a global turnover of more than RMB 10 billion in the last fiscal year, and at least two of them The fiscal year's turnover in China exceeded RMB 400 million. The total turnover of all operators participating in concentration in China in the previous fiscal year exceeded RMB 2 billion, and at least two of them had turnover in China exceeding RMB 400 million in the previous fiscal year.
If a business operator centrally meets one of the above two criteria, it shall report to the anti-monopoly law enforcement agency of the State Council in advance. According to the current division of labor of the State Council, the Ministry of Commerce shall be responsible for the work, and the provisions shall be clear at the same time, and shall be declared without notification. No concentration can be implemented.
The "Regulations" will come into effect on the 4th.
